These Terms of Use ("Terms") apply to all use of the Purpose Giving & Payment platform by you, or by any entity or organization on whose behalf you use the Application (together, "Users"). The platform is made available by Purpose Financial, who can be contacted at https://purpose.financial/contact/. By using our Platform, Users confirm that they have read, understood, accept and agree to be bound by these Terms. Users may only use the Platform in accordance with these Terms. All rights not expressly granted to Users in these Terms are reserved by Purpose Giving & Payment.

Amendments
Purpose Giving & Payment reserves the right to amend or update these Terms at any time with or without notice to Users, and may also add new features or functionality to, or change or remove existing features or functionality from, the Platform that will be subject to the Terms. Any User who continues to use the Platform after any changes are made will be taken to have agreed to those changes.

Privacy Policy
Purpose Giving & Payment is committed to protecting your privacy. Any information given to us will be used for the sole and express purpose as originally requested. We do not sell our customer information to anyone. We are continually improving and upgrading our platform to use the best, secure, encrypted technology to process your transactions safely and securely. Purpose Giving & Payment will not share or use your mobile number for any other purpose. We will only use information you provide to transmit your text message. We reserve the right at all times to disclose any information as necessary to satisfy any law, regulation or governmental request, to avoid liability, or to protect our rights or property. When you complete forms online or otherwise provide us information in connection with the Service, you agree to provide accurate, complete and true information. You agree not to use a false or misleading name or a name that you are not authorized to use. If we, in our sole discretion, believe that any such information is untrue, inaccurate or incomplete, we may refuse you access to the Service and pursue any appropriate legal remedies. This website may contain links to other sites on the internet that are owned and operated by third parties. You acknowledge that Purpose Giving & Payment is not responsible for the operation of or content located on or through any of these sites. Purpose Giving & Payment supports all modern browsers, such as Google Chrome, Safari, Mozilla Firefox, Opera, and Internet Explorer version 9 and higher.

If you need help with your account, login issues, or general help with any of your transactions or use of this website, please contact your organization's administrative offices for assistance. Purpose Giving & Payment works hand in hand with your organization's personnel to help resolve any issues in a timely manner.

Refunds
If you made a transaction that needs to be refunded, please contact your organization's administrative offices and they can assist to get your funds returned as quickly as possible.

Transactions
Your account will be charged at the time your transaction is completed, and this transaction will take a few days to clear the bank and for the funds to be deducted from your account. If it has been longer than 5 business days and your funds have not been deducted from your account, please contact your organization's administrative offices for further assistance. The Platform
In these Terms, any Client wishing to use the Platform in order to be able to receive payments for goods and/or services from other Users are described as "Merchants". For the avoidance of doubt, "Clients" refers to Merchants using the Application to receive payments, and “Users” refers to all other Users using the Application to make payments. Upon use of our Platform and providing the information required pursuant to clauses 9 and 10 below, Users will be able to pay Merchants, and Merchants will be able to receive payment from Users, for certain reasons specific to the Merchants. Purpose Giving & Payment hereby grants to each User a personal, limited, worldwide, non-exclusive, revocable, non-transferable and non-assignable license to use the Platform on each User's Computer or Mobile Device with Internet access strictly in accordance with these Terms. Purpose Giving & Payment may release new versions of the Platform from time to time, and require all Users and Merchants to use the latest version. The Platform may only be used in accordance with these Terms, and Users and Merchants must not (and must not attempt to) copy, reproduce, modify, adapt, reverse-engineer or decompile the Platform in any way.

Platform Communication
Purpose Giving & Payment operates a Payment Processing Payment System via Web Link Transactions and/or a SMS giving service that you can use to receive links to process SMS or online giving transactions. By sending a message to the Purpose Giving & Payment Giving Service, you authorize Purpose Giving & Payment to send you a return message containing the information you have requested. Purpose Giving & Payment will only send you one message in response. Please note that Message and Data rates may apply. Profile Details
In order to be able to make payments via the Platform, Users will need to provide certain information about themselves (as prompted by the Platform) (“Profile Details"). All Users agree to provide true, accurate and current Profile Details. Users grant a non-exclusive, worldwide, royalty-free license to Purpose Giving & Payment to use such Profile Details solely for the purposes of supplying the services provided by the Platform, including disclosing such Profile Details to third parties as necessary (for example, disclosing limited Profile Details to merchants at the time of a purchase, or verifying Profile Details with their credit card company).

Merchant Account information
Merchants (Clients) will need to provide certain information about themselves. All Merchants agree to provide true, accurate and current Merchant Account Information. Merchants grant a non-exclusive, worldwide, royalty- free license to Purpose Giving & Payment to use such Merchant Account Information solely for the purposes of supplying the services provided by the Platform, including disclosing such Merchant Account Information to third parties as necessary. Cancellation of Accounts Users are entitled to stop using their account with Purpose Giving & Payment. Clients are entitled to cancel their account at any time by giving 30 days notice in writing to Purpose Giving & Payment. Purpose Giving & Payment may cancel a User's account at any time, unless such User is a Client, in which case Purpose Giving & Payment shall give 30 days notice in writing. Purpose Giving & Payment may, in its discretion, choose to withdraw or discontinue the provision, operation and/or support of the Platform at any time, and shall have no liability to any Users if it chooses to do so. All cancellations will result in the deactivation or deletion of the User's or Merchant's account.

Fees
Merchants must pay a fee to Purpose Giving & Payment in order to use the Platform ("Fees"). The Fees charged by Purpose Giving & Payment are to be agreed in writing with a client. Fees will be invoiced and charged to Clients on a monthly basis. Fees are subject at all times to change by Purpose Giving & Payment giving 30 days notice, which will be emailed to the client.

Malfunctions and technical support
Purpose Giving & Payment takes all reasonable steps to ensure that the Platform will function as intended once it is accessed by Users. However, Purpose Giving & Payment shall not be liable if at any time the Platform malfunctions and/or causes any loss or damage to Users, or for any other loss or damage suffered as a result of any partial or total breakdown of, or inability to use, the Platform. Purpose Giving & Payment will try to promptly address (during normal business hours) all technical issues that arise in relation to the Platform.

Responsibility
Each User will be responsible and liable for all transactions effected through their use of the Platform. Purpose Giving & Payment will not be held accountable if a User suffers any loss or damage as a result of the use of the Platform.

Warranties and Liability
The Platform and all content, functionality and features within it are provided "as is" and without warranties or representations of any kind either expressed or implied. To the greatest extent permitted by law, Purpose Giving & Payment disclaims and excludes all warranties, terms and representations that may otherwise be implied, including any warranties as to compatibility, satisfactory quality, and fitness for a particular purpose, or that content, information or functionality of the Platform is accurate, error-free or uninterrupted, and/or does not infringe the rights of any third party. Save in respect of any liability for personal injury or death caused by our negligence, Purpose Giving & Payment shall not be liable for any damages, loss or injury arising in connection with these Terms and/or use of, or the inability to use, the Platform or any function or services provided by the Platform, howsoever caused and whether arising in contract, tort (including negligence) or otherwise. While Purpose Giving & Payment uses reasonable efforts to ensure that the Platform is free from viruses and other malicious content, neither Purpose Giving & Payment nor any other party involved in producing or delivering the Platform assumes any responsibility, nor shall be liable for any damage to, or viruses that may infect, Users' computers or mobile devices or other property on account of access to or use of the Platform. Each User indemnifies, and will keep indemnified, Purpose Giving & Payment against all forms of liability, actions, proceedings, demands, costs, charges and expenses which Purpose Giving & Payment may incur or be subject to or suffer as a result of the User use of the Platform and the services and functionality provided by it. No illegal or malicious use No User may use the Platform for any illegal or unauthorized purpose, or for any malicious means, or abuse, harass, threaten, intimidate or impersonate any other User.

Intellectual property and Privacy
All Users agree that Purpose Financial owns all of the intellectual property rights existing in the Application and that nothing in these Terms shall operate to transfer or assign any such rights to any User. Any information, data, or other content which is generated in the course of use of the Platform by a User ("Data") shall vest in and be owned by Purpose Financial. To the extent such Data contains any personally identifiable information, the terms of Purpose Financial's Privacy Policy stated above shall apply.

Branding
No User or Client may publish or use Purpose Giving & Payment’s brand, branding or logos except with Purpose Giving & Payment prior written consent. Users must not remove or alter any copyright or other proprietary notices contained within the Platform.

Security
Purpose Giving & Payment takes reasonable measures to keep User Account Information and Client Account Information secure against unauthorized use or access. Purpose Giving & Payment complies at all times with, and requires Clients to comply with all applicable and then- current legal obligations and security measures including without limitation those issued by the United States Government, Federal, State and Municipal laws and ordinances, Card Association, the Federal Trade Commission, the PCI Security Standards Council, and any other governing body. Purpose Giving & Payment complies with, all Gateway Provider security protocols, notices and safeguards. Purpose Giving & Payment warrants that it has taken such precautions as are necessary to ensure that our Data and our Customer Data is protected and that our electronic systems are secure from breach, intrusion or compromise by any unauthorized third parties. In the event that Purpose Giving & Payment’s system is breached and an unauthorized third party has access to or has accessed Data or Transaction data, Purpose Giving & Payment shall notify the designated parties as required under any applicable laws or industry guidelines and will take prompt action and precautions as necessary to prevent any continuous or additional breach. Purpose Giving & Payment is solely responsible for the security of Data residing on servers owned or operated by Purpose Giving & Payment, or any third party designated by Purpose Giving & Payment e.g., a web hosting company, processor, or other service provider, including credit card numbers and any other Data. Purpose Giving & Payment shall comply with all applicable laws and regulations governing the collection, retention and use by Purpose Giving & Payment of credit card, Data and other financial information and agrees to provide notice to Purpose Giving & Payment’s Customers on its web site that discloses how and why personal and financial information is collected and used, including uses governed by this Agreement. Although Purpose Giving & Payment utilizes commercially reasonable efforts to safeguard Data transmitted while using Purpose Giving & Payment Services, Purpose Giving & Payment does not warrant that Data will be transported without unauthorized interception or modification or that Purpose Giving & Payment’s account or Other Purpose Giving & Payment Data or Merchant Data will not be accessed or compromised by unauthorized third parties. However, Users shall be responsible for maintaining the security of their Purpose Giving & Payment account by keeping their User Account Information or Client Account Information (as the case may be), Password and log-in details confidential and secure, and not sharing any such information with any third party. Users must select their Passwords carefully. Purpose Giving & Payment shall not be liable for any loss, cost or damage suffered as a result of any unauthorized use of the Platform by any third party caused by Users failure to comply with these provisions. Users must notify Purpose Giving & Payment immediately if they suspect or become aware of any unauthorized or fraudulent use of their account.

Non-compliance
If a User does not comply with any aspect of these Terms, Purpose Giving & Payment may (without prejudice to any other rights or remedies available to it) cancel or suspend that User's account, disable the ability of that User to use the Platform, and/or terminate these Terms (including the license granted within it). Purpose Giving & Payment shall not be liable for any loss or damage suffered by Users as a result of Purpose Giving & Payment exercising its rights under this clause.
